Associate General Counsel, Transactions

As an Associate General Counsel - Transactions at Endeavor Health, you will be responsible for providing legal advice and collaborating with operations on many aspects of System transactions and strategic priorities, including its subsidiary hospitals, medical group, research institute and other affiliated entities. You will support the organization's strategic contract initiatives while providing compliance, legal and risk analysis to ensure clear assessment and decision-making. In this role, you will supervise outside counsel engaged to meet departmental and System objectives. In conjunction with supervising attorneys in the Legal Department, you will help establish and administer department-wide contracting strategy, direction, and policy, including reviewing the terms of the contracts, securing the required approvals, and negotiation strategy amongst others. As a part of this highly tactical role, you will also provide support to further the legal department's efforts related to advising the organization on contracts negotiations, settlements, and other related matters.

To be successful in this role, you will proactively identify the regulatory developments impacting the organization and provide recommendations on how to mitigate the associated risks. Additionally, you will advise the System on adherence to applicable laws and regulations to safeguard the organization against damages.

  • Hours: Monday-Friday, during normal business hours

  • Required Travel: travel to other Endeavor Health locations may be required

What you will do:

  • Provides practical legal counsel and develops creative/practical solutions to questions arising around contractual terms and policies.

  • Understands and implements policies and procedures related to the assigned area, including system responsibility for making decisions to evolve policies within this area to reflect best practices, regulatory changes and/or system alignment.

  • Participates in business, operational, and strategic decisions, including analyzing and evaluating risk in coordination with senior attorneys, outside counsel and internal stakeholders as appropriate relating to the assigned area.

  • Negotiates, drafts, and executes agreements and contracts on behalf of the organization, advises for changes and modification in policies and terms of agreement.

  • Conducts research related to legal documents used in the preparation of various contracts.

  • Organizes and manages contract review, including negotiating and finalizing terms with third parties.

  • Provides occasional training to employees and governance on legal topics to keep up with the changing rules and regulations.

  • Oversees and coordinates work and communication amongst team member(s) to ensure efficiency and balanced workload, while developing areas for continued growth and responsibility to best support the System and Legal department. Demonstrates excellent leadership skills, including those needed to manage and inspire confidence in staff.

  • Expected to have strong knowledge and subject matter expertise in applicable, federal, state, and local laws including strategic legal analysis and guidance to the organization related to assigned matters and as requested on a case-by-case basis.

  • Remains abreast of legislation and regulations affecting the organizational programs, products, and services, ensuring compliance with applicable legal provisions and reporting requirements

What you will need:

  • Education: Juris Doctorate (J.D.) degree from an accredited law school.

  • Certification: admitted to practice in Illinois or another state with approval

  • Experience:

    • Five or more years of relevant and/or progressive experience in a law firm or corporate legal department.

    • Two or more years of leadership experience.

    • Prior experience in health care or other regulated industry preferred.

  • Unique or Preferred Skills:

    • Strong domain knowledge and interpersonal skills.

    • Ability to plan and execute strategic initiatives.

    • Ability to negotiate and manage stakeholders.
